1. Acceptance of Terms

By accessing or using the PitchBoards mobile application and the pitchboards.io website (collectively, the "Service"), operated by PitchBoards, Inc. ("PitchBoards," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PitchBoards is a software-as-a-service platform designed for real estate brokers to manage listings, collaborate with team members, and streamline their brokerage operations. The Service includes the PitchBoards iOS application, web dashboard, and related tools and features.

3. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must be at least 18 years old to create an account and use the Service.
  • You must promptly notify us of any unauthorized use of your account by contacting support@pitchboards.io.

4. Subscriptions and Payment

  • Access to the Service requires a paid subscription. Pricing and plan details are available on our website.
  • Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan you select.
  • All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.
  • Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
  • We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. We will notify you before the trial expires.

6. Cancellation

  • You may cancel your subscription at any time through your account settings or by contacting us.
  • Upon cancellation, your access to paid features will continue until the end of your current billing period.
  • We reserve the right to suspend or terminate your account if payment fails after reasonable attempts to resolve the issue.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload, transmit, or distribute content that is defamatory, obscene, fraudulent, or infringing on the rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems and networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated means (bots, scrapers) to access the Service without our written consent.
  • Resell, sublicense, or redistribute the Service without our prior written approval.

8. Your Content

  • You retain ownership of all content you upload to the Service, including listing data, photos, documents, and other materials ("Your Content").
  • By uploading content, you grant PitchBoards a limited, non-exclusive license to use, store, and process Your Content solely to provide and improve the Service.
  • You are solely responsible for the accuracy and legality of Your Content.
  • We may remove content that violates these Terms or applicable law, with or without notice.

9. Intellectual Property

The Service, including its design, logos, software, text, and other materials, is owned by PitchBoards and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works based on the Service without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PITCHBOARDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless PitchBoards and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
